Mumbai, April 10, 2025: Darwin Platform Refineries Limited (DPRL), a key player in India’s refining and energy sector, is poised to make a blockbuster debut on the Indian stock markets with its much-anticipated Initial Public Offering (IPO) scheduled for October 2025, ahead of Diwali, according to market watchers. According to people familiar with the development, with this move, DPRL aims to tap into the capital markets as it charts an aggressive expansion path.
The price band is set between ₹410 and ₹1,200 per equity share, with final pricing to be determined via the book building process. The company will offer retail and employee discounts, details of which will be announced ahead of the offer opening. The offer structure includes up to 50% allocation to Qualified Institutional Buyers (QIBs), 15% to Non-Institutional Bidders, and 35% to Retail Investors. The issue will be listed on both the Bombay Stock Exchange (BSE) and the National Stock Exchange (NSE), with BSE as the designated exchange.
The company had submitted its Red Herring Prospectus (RHP) in December 2024, outlining the framework of its public offering. The IPO comprises a public Offer of 16 billion equity shares, each with a face value of ₹10, and is being issued through an Offer for Sale by the Promoters including Ajay Harinath Singh, Chairman and Managing Director of Darwin Platform Group of Companies whose strategic direction has been pivotal in driving Darwin’s momentum across the energy value chain.
According to industry analysts, DPRL has reported robust revenue and double-digit profit margins over the last three years, driven by strategic focus on high-demand refined products and operational efficiency. The company’s financials reflect steady growth and profitability across eight consecutive quarters, positioning it as a reliable investment in a volatile sector. People close to the deal attribute this performance to improved operational efficiencies and the company’s strategic tilt toward high-demand refined products, especially amid global shifts in energy consumption patterns.
The IPO is being managed by a powerhouse syndicate of JM Financial Consultants, Citigroup Global Markets India, DSP Merrill Lynch, Morgan Stanley India, HSBC Securities and Nomura Financial Advisory, underscoring the credibility and scale of the offering. Link Intime India Pvt. Ltd. has been appointed as the registrar for the offer.
