Congratulations on World MSME Day. Could you Introduce ClarioNya and share its mission in supporting businesses?

Thank you. World MSME Day is a wonderful reminder of the immense contribution that entrepreneurs and small businesses make to India’s economy. They are not only creating employment but also driving innovation and resilience.
ClarioNya is a egal strategy practice built on a simple belief: businesses don’t need more legal opinions; they need legal strategy they can act on.
We partner with founders, MSMEs, family businesses and growing enterprises, helping them navigate opportunities, manage risks and make informed business decisions with confidence. Our mission is to simplify complexity, strengthen governance and become a trusted partner throughout a business’s growth journey, not just when a legal issue arises.

What inspired you to establish ClarioNya, and what gap in the corporate legal consulting industry were you aiming to fill?

ClarioNya was inspired by three convictions that became stronger over my 25-year journey in corporate leadership.
The first was the need I saw in the market. Having served in leadership roles as a General Counsel, Company Secretary, Executive Committee member and Board member, I had the privilege of being the co-pilot to business teams helping navigate growth, transformation, strategic decisions and moments of uncertainty. I realised that businesses didn’t just need legal advice. They needed someone who understood the realities of business, remained accessible through periods of growth and challenge, and brought the perspective of an experienced inhouse General Counsel as an outside General Counsel with insider experience.
The second was the desire to build something of my own. I felt it was the right time to leverage everything I had learnt over the past 25 years and create a practice that reflected my belief that legal strategy should enable business, not slow it down.
The third was about building an organisation and creating opportunities. I wanted ClarioNya to be a place where talent is valued over hierarchy, where professionals across experience levels are encouraged to think independently, take ownership and develop an entrepreneurial mindset.
As a first generation lawyer and entrepreneur in my immediate family, this journey is deeply meaningful. It allows me to create opportunities, mentor professionals and contribute, in my own way, to changing how external legal advisors are perceived.
At ClarioNya, our work is guided by five anchors – Clarity, Action, Ethics, Trust and Transparency. They define not just how we advise clients, but how we build lasting relationships.
If there is one message my own journey reinforces, it is this: entrepreneurship has no age limit. If you have a dream, a clear purpose and the willingness to keep learning, you can start any day. I began this chapter after a fulfilling 25 year career, and it has been one of the most rewarding decisions of my life.

Why is legal compliance essential for MSMEs from the very beginning of their business journey?

I prefer to call it business readiness rather than compliance.
Every investor, customer, lender or business partner wants to know one thing: Can I trust this business? Governance, proper documentation, ethical practices and regulatory discipline answer that question.
Businesses that build these foundations early don’t just reduce legal risk, they become more investable, more resilient and better prepared to scale.

What are the most common legal mistakes made by startups and small businesses, and how can they avoid them?

One of the most common mistakes is treating legal as a reactive function rather than a strategic business enabler.
Founders naturally focus on building products, acquiring customers and raising capital. In the process, critical aspects such as founder arrangements, equity structuring, intellectual property ownership, commercial contracts, regulatory compliance and governance are often deferred until an issue arises, or until investors begin their due diligence.
By then, what could have been addressed through thoughtful planning often becomes an expensive distraction.
The most successful businesses don’t wait for legal problems to emerge. They build strong legal and governance foundations early, creating clarity in decision-making, protecting relationships, inspiring investor confidence and enabling sustainable growth. Legal strategy should never be viewed as a cost of doing business; it is an investment in building a resilient and scalable enterprise.

Intellectual property is often one of the most valuable, and least appreciated, assets a business owns. For many MSMEs, their brand, technology, product designs, proprietary processes, content and customer trust become key differentiators in an increasingly competitive market.
Entrepreneurs should start thinking about intellectual property from the moment they choose a brand name or develop a unique product or solution. Protecting trademarks, copyrights, designs and other intellectual assets early not only help prevent disputes but also strengthens business value, enhances investor confidence and creates opportunities for licensing, partnerships and expansion.
IP protection is not just a legal safeguard; it is a strategic business investment. Businesses that recognise and manage their intellectual property effectively are better positioned to scale, attract investment and build enduring brands.

What advice would you give to women entrepreneurs and first-generation founders entering the business world?

Believe in your vision, but don’t feel you have to build it alone. Seek mentors, build meaningful relationships and never hesitate to ask for help, successful entrepreneurs know the value of learning from others.
As a first generation entrepreneur myself, after more than 25 years in corporate leadership, I have learnt that there is no perfect time to start. Whether you are in your twenties or your fifties, your experience, perspective and resilience are invaluable assets. Do not let age, background or self-doubt define what you believe is possible.
While it’s healthy to be competitive, don’t measure your success against someone else’s milestones or achievements. In today’s world, it’s easy to get distracted by the noise of social media and the perception that everyone else is moving faster. Remember, every entrepreneurial journey is different. Focus on building your business with purpose, integrity and consistency rather than comparing your chapter one with someone else’s chapter ten.

How can MSMEs ensure they remain compliant with changing corporate and regulatory laws?

Compliance should become part of the business culture rather than an annual exercises.
Regular legal reviews, policy updates, contract audits, employee awareness programmes and timely professional guidance help businesses stay ahead of regulatory changes instead of reacting to them.
Governance is not a destination. It is a discipline.

What role does technology and digital legal consulting play in making legal services more accessible for entrepreneurs?

Technology has fundamentally changed the way legal services are delivered, making them more accessible, efficient and affordable for entrepreneurs, regardless of where they are located. AI and digital tools are helping simplify legal research, document review and routine processes, allowing lawyers to focus on higher-value strategic advice.
That said, technology is an enabler, not a substitute for judgment. Every business has its own commercial realities, risk appetite and objectives. The real value lies in combining the speed and efficiency of technology with the experience, context and strategic thinking of a trusted legal advisor.

One of my favourite sayings is, “The best legal advisors don’t sit across the table from the business. They sit beside it.” That philosophy shapes every engagement we undertake.

In your opinion, what are the biggest legal and regulatory challenges currently faced by Indian MSMEs?

Today’s challenge is not simply regulation; it’s navigating an increasingly complex business environment.
Indian MSMEs are simultaneously dealing with evolving labour laws, data privacy requirements, ESG expectations, sector-specific regulations, digital commerce and growing cross-border opportunities. At the same time, geopolitical developments, changing global supply chains, trade policies and rapid technological advancements, including AI, are creating new risks and opportunities that businesses must respond to quickly.
Most MSMEs don’t have large in-house legal teams. They need advisors who understand both the legal landscape and the commercial realities of running a business, and who can translate complexity into practical, business-focused decisions that enable growth while managing risk.

How can legal awareness contribute to sustainable business growth and investor confidence?

Investors don’t invest only in products or financial performance, they invest in leadership, governance and trust. Increasingly, customers, lenders, business partners and employees do the same.
Businesses that embed legal awareness into their decision-making are better equipped to manage risk, seize opportunities and adapt to a rapidly evolving regulatory environment. Strong contracts, sound governance and ethical business practices not only reduce risk but also enhance credibility and resilience.
Legal awareness is therefore not just about staying compliant; it is a strategic advantage that builds investor confidence, strengthens stakeholder trust and supports sustainable business growth.

What are your future expansion plans for ClarioNya, and what new services do you plan to introduce?

Our immediate focus is not on adding more services, but on delivering exceptional quality, building deeper relationships with our clients, and becoming their trusted legal and growth partner as they navigate every stage of their business journey. We want ClarioNya to be the first call our clients make whenever they face a business decision with legal, governance or regulatory implications.
While our core strengths will continue to be legal strategy and retained outside General Counsel services, we will gradually expand our capabilities to meet our clients’ evolving needs. At the appropriate stage, we also intend to offer litigation support and dispute management through a trusted network of experienced litigators, enabling clients to access seamless, end-to-end legal solutions through a single, reliable partner.
Beyond expanding our service offerings, I hope to build ClarioNya into a firm that creates opportunities for talented professionals. I want every person who joins us to grow with us, not just in their career, but through continuous learning, meaningful work and shared financial success. We will build a culture that values integrity, capability and business acumen, irrespective of age or where someone is in their career.
Our vision is ambitious, but we also recognise that lasting businesses are built one step at a time.
